Terms of service

OVERVIEW

Welcome to DeepReach.

DeepReach is a trading name of Carla Made Ltd, a company registered in England and Wales under company number 16790875.

The terms "we", "us" and "our" refer to Carla Made Ltd trading as DeepReach.

We operate this website and online store, including the information, content, features, tools, products and services made available through it (collectively, the "Services"). Our online store is powered by Shopify.

These Terms of Service ("Terms"), together with any policies referred to in them, set out the terms on which you may use our Services and purchase products from us.

Please read these Terms carefully before using our website or placing an order.

By using our Services or purchasing from us, you agree to these Terms and our Privacy Policy.

Nothing in these Terms affects your statutory rights as a consumer.

SECTION 1 - ACCESS AND ACCOUNT

To use certain parts of the Services or purchase products from us, you may be asked to provide information including your name, email address, billing information, payment information and delivery address.

You agree that the information you provide is accurate, current and complete and that you have the right to provide it.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account.

You may not transfer, sell, assign or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to ensure that the descriptions, specifications, photographs and other representations of our products on our website are accurate.

However, colours and appearance may vary slightly depending on your device, screen settings, lighting and other factors.

Minor differences between photographs or representations on our website and the product received will not necessarily constitute a defect, provided that the product remains consistent with its description and applicable legal requirements.

Product descriptions, specifications and availability may be updated from time to time.

We reserve the right to discontinue products or limit quantities available for purchase where reasonably necessary.

Nothing in this section affects your statutory rights, including your rights under the Consumer Rights Act 2015.

SECTION 3 - ORDERS

When you place an order through our website, you are making an offer to purchase products from us.

After placing an order, you will receive an electronic confirmation acknowledging that we have received your order. Acceptance of your order occurs when we confirm that your order has been accepted or dispatched.

We reserve the right to decline or cancel an order where reasonably necessary, including where:

  • a product is unavailable;
  • payment cannot be authorised;
  • there is an obvious error in the price or product description;
  • we reasonably suspect fraudulent or unauthorised activity; or
  • we are unable to fulfil the order.

If payment has already been taken for an order that we cannot accept, we will refund the relevant amount.

Please check your order carefully before submitting it.

If you need to change or cancel an order, contact us as soon as possible. Once an order has entered the fulfilment or dispatch process, we may be unable to stop or modify it.

Your rights to cancel or return an order are set out in our Return & Refund Policy and applicable UK consumer law.

SECTION 4 - PRICES AND PAYMENT

Prices displayed on our website are in pounds sterling (GBP) unless otherwise stated.

The price payable for a product will be the price displayed when you place your order, subject to correction of obvious pricing errors.

Any delivery charges or other mandatory charges applicable to your order will be clearly displayed before you complete your purchase.

From time to time, we may offer discounts, promotional prices, bundles or promotional codes. These may be subject to separate conditions, eligibility requirements and expiry dates.

We reserve the right to change prices and promotions at any time. Changes will not affect orders that we have already accepted.

You agree to provide current, complete and accurate payment and account information when making a purchase.

You confirm that you are authorised to use the payment method provided.

SECTION 5 - SHIPPING AND DELIVERY

Available delivery options, estimated delivery times and any applicable delivery charges will be displayed on our website or during checkout.

Delivery times are estimates unless we expressly agree otherwise.

We aim to deliver orders within the timeframe communicated to you and, unless otherwise agreed, within the period required by applicable consumer law.

We will not be responsible for delays caused by circumstances outside our reasonable control. Where such circumstances cause a material delay, we will take reasonable steps to minimise the effect and communicate with you where appropriate.

Risk in goods remains with us until the goods come into your physical possession, or the physical possession of a person identified by you to receive them, except where applicable law provides otherwise.

Please ensure that the delivery information you provide is complete and accurate.

Further information is available in our Shipping Policy.

Nothing in this section affects your statutory rights.

SECTION 6 - DIGITAL CONTENT AND TRAINING MATERIALS

Certain DeepReach purchases may include access to digital content such as video training, exercise or mobility programmes, e-books, guides and other educational resources.

Unless otherwise stated, digital content supplied by DeepReach is provided for your personal, non-commercial use only.

Purchasing or receiving access to digital content does not transfer ownership of the intellectual property contained within that content to you.

You must not, without our prior written permission:

  • reproduce or copy our digital content for commercial purposes;
  • sell, sublicense, distribute or otherwise make our digital content available to third parties;
  • share access credentials, private links or other access methods for the purpose of allowing unauthorised access;
  • upload our videos, e-books, guides or other protected materials to another website, platform, file-sharing service or social media account; or
  • modify our content and represent it as your own.

Where digital content is made available immediately after purchase, applicable consumer law contains specific rules concerning consent to immediate supply and cancellation rights.

Where required, we will obtain your express consent to the immediate supply of digital content and your acknowledgement of the effect this has on your cancellation rights.

Nothing in these Terms by itself removes any cancellation right you may have under applicable law.

Nothing in this section affects your statutory rights in relation to digital content.

SECTION 7 - HEALTH, FITNESS AND EDUCATIONAL INFORMATION

DeepReach products and associated training materials are designed to support general stretching, mobility, strength and exercise.

Information provided through our website, videos, e-books, guides and other materials is provided for general informational and educational purposes.

It is not intended to replace individual medical advice, diagnosis or treatment from a qualified healthcare professional.

Exercise, stretching and physical activity involve inherent risks, and individual experiences and results may vary.

You are responsible for using our products appropriately and following any instructions and safety information provided.

If you have an injury, medical condition, unexplained or severe pain, concerns about your ability to exercise safely, or have been advised to restrict physical activity, you should seek appropriate advice from a qualified healthcare professional before beginning a new exercise or mobility programme.

You should stop using the product or performing an exercise if you experience severe or unusual pain or other concerning symptoms and seek appropriate professional advice where necessary.

Nothing in this section excludes or limits any liability that cannot lawfully be excluded or limited.

SECTION 8 - INTELLECTUAL PROPERTY

Our Services and their content, including trademarks, branding, product names, text, graphics, photographs, illustrations, videos, training materials, e-books, designs, logos, website content and other materials, are owned by or licensed to Carla Made Ltd and are protected by applicable intellectual property laws.

DeepReach and associated branding, product names, designs and brand assets may not be used without our prior written permission except where permitted by law.

You may access our website and its content for your personal, non-commercial use.

Unless expressly permitted by us or by applicable law, you must not reproduce, distribute, modify, republish, sell, commercially exploit or create derivative works from our protected materials.

All rights not expressly granted are reserved.

SECTION 9 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to features, tools or services supplied or operated by third parties.

We do not necessarily control these third-party services, and your use of them may be subject to separate terms and privacy policies.

To the extent permitted by law, we are not responsible for the operation, availability or content of third-party tools or services outside our reasonable control.

You should review the relevant third party's terms and policies before using its services.

SECTION 10 - THIRD-PARTY LINKS

Our website or Services may contain links to websites, resources or services operated by third parties.

We are not responsible for the content, accuracy, security, availability or practices of third-party websites that we do not control.

If you choose to access a third-party website or service, you should review its applicable terms and privacy policies.

Nothing in this section limits any responsibility we have to you under applicable law.

SECTION 11 - RELATIONSHIP WITH SHOPIFY

Our online store is powered by Shopify, which provides technology that enables us to operate our online store.

However, purchases made through the DeepReach store are made directly between you and Carla Made Ltd trading as DeepReach.

Shopify is not the seller of DeepReach products.

Certain Shopify-powered functionality may also be subject to Shopify's applicable terms and privacy practices.

SECTION 12 - PRIVACY

Personal information collected through our Services is handled in accordance with our Privacy Policy.

Because our online store is hosted by Shopify, certain personal information may also be processed by Shopify and other service providers that assist us with operating our website, processing transactions, delivering products and providing our Services.

Please review our Privacy Policy for further information about how personal information is collected, used, stored and shared.

SECTION 13 - REVIEWS AND FEEDBACK

If you submit a product review, testimonial, photograph, video, suggestion, feedback or other content to us ("Feedback"), you confirm that you have the right to provide that content.

You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, display and adapt that Feedback for purposes including operating, improving and promoting DeepReach and our products.

Where appropriate, we may make reasonable edits to Feedback for formatting, spelling, grammar or length, provided that we do not materially misrepresent its meaning.

You must not submit content that is unlawful, defamatory, abusive, obscene, fraudulent, misleading or that infringes another person's intellectual property, privacy or other legal rights.

Where a review or testimonial has been incentivised, this must be disclosed where required by law.

We reserve the right to remove or decline to publish Feedback where reasonably necessary, subject to applicable law.

SECTION 14 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information on our website may contain typographical errors, inaccuracies or omissions relating to matters such as product descriptions, specifications, pricing, promotions, availability, delivery charges or delivery times.

We may correct errors and update information where reasonably necessary.

If an error materially affects an order that you have already placed, we will contact you where appropriate.

We will not use this section to remove or restrict rights that you have under applicable consumer law.

SECTION 15 - PROHIBITED USES

You may use our Services only for lawful purposes.

You must not use our Services:

  • for unlawful or fraudulent purposes;
  • to infringe our intellectual property rights or the rights of another person;
  • to harass, threaten, abuse or defame another person;
  • to transmit viruses, malicious software or other harmful code;
  • to unlawfully collect or process personal information about another person;
  • to send spam or unauthorised promotional communications;
  • to impersonate another person or organisation;
  • to interfere with the security or proper operation of our website;
  • to circumvent access controls or security measures; or
  • to systematically reproduce, scrape or commercially exploit protected website content except where permitted by law.

We may suspend or restrict access to the Services where we reasonably believe these Terms have been materially breached or where necessary to protect our website, customers or business.

SECTION 16 - TERMINATION

You may stop using our Services at any time.

We may suspend or terminate access to all or part of our Services where reasonably necessary, including where these Terms have been materially breached, fraudulent activity is suspected, or the security or integrity of our Services is threatened.

Termination of access to our website does not affect rights or obligations that arose before termination.

Provisions that by their nature should continue following termination, including those concerning intellectual property, liability, privacy and governing law, will continue to apply.

SECTION 17 - CONSUMER RIGHTS AND WARRANTIES

Nothing in these Terms excludes, restricts or otherwise affects rights or remedies that cannot lawfully be excluded or restricted.

If you purchase from us as a consumer, you have legal rights in relation to the products and digital content supplied by us.

These include rights under the Consumer Rights Act 2015 and other applicable consumer protection legislation.

Goods supplied by us must meet applicable legal requirements, including requirements concerning satisfactory quality, fitness for purpose and conformity with description.

Digital content supplied by us must also meet the requirements imposed by applicable consumer law.

Any voluntary commercial guarantee, including a money-back guarantee offered by DeepReach, is provided in addition to your statutory rights and does not replace or reduce those rights.

Details and conditions of any applicable DeepReach money-back guarantee will be set out separately in our Return & Refund Policy or in the terms accompanying the relevant offer.

SECTION 18 - LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits our liability where doing so would be unlawful.

This includes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

A loss is foreseeable if it was obvious that it would happen or if, at the time the contract was formed, both you and we knew that it might happen.

We are not responsible for losses that were not foreseeable or that result from circumstances for which we are not legally responsible.

Our products and Services are intended primarily for personal and domestic use.

If you use a product for commercial or business purposes, we will not be responsible for business losses such as loss of profit, loss of revenue, loss of business or loss of business opportunity, to the extent permitted by law.

Nothing in this section affects your statutory consumer rights.

SECTION 19 - EVENTS OUTSIDE OUR CONTROL

We will not be responsible for delay or failure to perform an obligation where this results from circumstances outside our reasonable control.

Where such circumstances materially affect our ability to fulfil an order, we will take reasonable steps to minimise the effect of the delay and communicate with you where appropriate.

Nothing in this section affects rights available to you under applicable consumer law.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

SECTION 21 - WAIVER AND ENTIRE AGREEMENT

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.

These Terms, together with our Privacy Policy, Shipping Policy, Return & Refund Policy and any other terms expressly agreed between you and us, form the agreement governing your use of the Services and purchases from us.

Nothing in this section excludes liability for fraud or fraudulent misrepresentation.

SECTION 22 - TRANSFER OF RIGHTS

You may not transfer your rights or obligations under these Terms to another person without our prior written consent, except where applicable law permits you to do so.

We may transfer our rights and obligations under these Terms to another organisation, provided that doing so does not reduce your rights under these Terms or applicable law.

SECTION 23 - GOVERNING LAW AND JURISDICTION

These Terms and contracts between you and us are governed by the laws of England and Wales.

If you are a consumer resident in another part of the United Kingdom, you may also benefit from mandatory protections provided by the laws applicable in that part of the United Kingdom.

Nothing in these Terms restricts any rights you may have under applicable law regarding where legal proceedings may be brought.

SECTION 24 - CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, business practices or applicable law.

The most current version of these Terms will be available on this page.

Changes will not retrospectively alter the terms applying to an order that we have already accepted unless required by law or agreed with you.

Where required by applicable law, we will provide appropriate notice of material changes.
